1. Acceptance of These Terms
By accessing or using our website, platform, or services, you agree to these Terms and our Privacy Policy. If you use the services on behalf of a company or other entity, you represent that you have authority to bind that organization. If you do not agree, do not use the services.
2. Our Services
Y2Solution provides financial, accounting, operational, implementation, and consulting services, as well as access to Vantage OS. Features, deliverables, service levels, timelines, and responsibilities may be described in an applicable proposal, engagement letter, order form, subscription plan, or statement of work.
We may improve, modify, or discontinue website or platform features. We will use commercially reasonable efforts to provide appropriate notice when a material change significantly affects an active paid subscription.
3. Accounts and Authorized Users
You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of credentials and for activity conducted through your account or authorized users. You must promptly notify us of suspected unauthorized access or security incidents involving the services.
4. Client Data and Permissions
You retain ownership of information and materials you submit, upload, import, or connect to the services (“Client Data”). You grant Y2Solution and its service providers a limited right to host, process, transmit, display, and otherwise use Client Data as necessary to provide, support, secure, and improve the services and meet legal obligations.
You represent that you have all rights, permissions, and lawful bases necessary to provide Client Data and authorize its processing. You are responsible for the accuracy, completeness, and legality of Client Data and for maintaining any copies or records required by your business or applicable law.
5. Acceptable Use
You may not:
- Use the services in violation of law, regulation, third-party rights, or contractual obligations.
- Attempt to gain unauthorized access to accounts, systems, data, or networks.
- Upload malware or use the services to transmit harmful, fraudulent, deceptive, or unlawful content.
- Interfere with service integrity, security, performance, or availability.
- Reverse engineer, copy, resell, sublicense, or commercially exploit the platform except as expressly authorized in writing.
- Use automated means to scrape or extract data from the services except through approved functionality.
6. Third-Party Services and Integrations
The services may interoperate with QuickBooks, ERP systems, payment providers, calendar tools, cloud services, or other third-party products. Third-party services are governed by their own terms and policies. We do not control and are not responsible for third-party availability, functionality, security, data practices, or changes.
You authorize us to exchange Client Data with third-party services you select as necessary to provide the requested integration. API availability and compatibility may depend on the applicable provider and may require separate assessment or fees.
7. Fees, Billing, and Subscriptions
Fees, billing frequency, renewal terms, taxes, cancellation rights, and refund terms are stated in the applicable plan, checkout page, order form, or engagement agreement. You authorize us and our payment providers to charge amounts when due. Unless otherwise stated in writing, fees are nonrefundable to the extent permitted by law.
We may suspend access for overdue amounts after providing notice and a reasonable opportunity to cure. Changes to subscription pricing will apply as stated in the applicable notice, plan, or renewal terms.
8. Professional Services and AI-Generated Information
General website content, demonstrations, dashboards, forecasts, automated commentary, and AI-generated responses are provided for informational and business-planning purposes. They may contain errors, rely on incomplete information, or require professional interpretation.
No website or platform feature creates an accountant-client, tax-adviser, fiduciary, attorney-client, or other professional relationship. Professional advice and deliverables are provided only within the scope of a written engagement. You remain responsible for business decisions and should review material outputs with appropriately qualified professionals.
9. Intellectual Property
Y2Solution and its licensors own the website, Vantage OS, software, designs, workflows, documentation, trademarks, and related intellectual property, excluding Client Data. Subject to these Terms and payment of applicable fees, we grant you a limited, nonexclusive, nontransferable, revocable right to use the services for your internal business purposes during the applicable term.
If you provide feedback or suggestions, you authorize us to use them without restriction or compensation, provided we do not identify you publicly without permission.
10. Confidentiality
Each party may receive nonpublic information from the other. The receiving party will use confidential information only for the relationship, protect it using reasonable care, and disclose it only to personnel and service providers who need it and are subject to appropriate obligations. This section does not apply to information that is public through no breach, already lawfully known, independently developed, or lawfully received from another source.
11. Suspension and Termination
You may stop using the services at any time, subject to applicable billing and cancellation terms. We may suspend or terminate access for material breach, unlawful use, security risk, nonpayment, or conduct that could harm the services or others. Where reasonably practicable, we will provide notice and an opportunity to cure.
Upon termination, access rights end. Provisions that by their nature should survive—including payment obligations, ownership, confidentiality, disclaimers, limitations of liability, and dispute provisions—will survive.
12. Disclaimers
To the fullest extent permitted by law, the website, platform, automated outputs, and related materials are provided “as is” and “as available.” Y2Solution disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant that the services will be uninterrupted, error-free, or compatible with every system, or that every output will be complete or accurate.
Nothing in these Terms limits warranties or rights that cannot lawfully be excluded.
13. Limitation of Liability
To the fullest extent permitted by law, Y2Solution will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, or data, arising from or related to the services.
Any additional liability limitations or negotiated remedies in an applicable engagement agreement or order form will control. Nothing in these Terms excludes liability that cannot legally be limited.
14. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Y2Solution and its personnel from third-party claims, losses, and reasonable expenses arising from your Client Data, your unlawful or unauthorized use of the services, or your material breach of these Terms. This obligation does not apply to the extent a claim results from Y2Solution’s own unlawful conduct.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Unless a written agreement provides otherwise, the state and federal courts located in Miami-Dade County, Florida will have exclusive jurisdiction, and each party consents to personal jurisdiction in those courts.
16. Changes to These Terms
We may update these Terms from time to time. The revised Terms will be posted on this page with an updated effective date. If a change is material to an active paid service, we may provide additional notice. Continued use after the effective date constitutes acceptance to the extent permitted by law.
